The name of the association shall be the Northeastern Ohio Amateur Soccer Association, Inc. The association shall be under the direction and supervision of the Board of Directors which shall be called the Executive Board.

Section 1 The purpose of the association shall be to provide the opportunity for amateurs to play soccer within the geographic guidelines as established by this association; also to provide for a high level of participation in a team sport among amateurs. It shall promote instruction in
the skills and strategies of soccer under the philosophies of good sportsmanship, teamwork, and the leaning of fundamentals.
Section 2 No part of the income or assets of this association shall inure to the benefit of any individual or member.
Section 3 This association shall issue no capital stock. Its object and purpose is solely of a benevolent character and not for individual pecuniary gain or profit to its members. It shall obtain and maintain the appropriate non-profit status with the State of Ohio, and the IRS, if necessary.

Section 1 Individual soccer clubs, teams, players, coaches, and managers shall be eligible to become an individual member and shall be such upon being registered with the association through the appropriate soccer club.
Section 2 All applications for team, club, or individual registration to play in the divisions of the association shall be subject to the approval of the Executive Board.
Section 3 Membership of the Executive Board shall be according to election by the club representatives present at a meeting of the association. The Executive Board will consist of seven (7) elected officers.

Section 1 Regular monthly information meeting of the membership maybe held. The purpose of these meetings shall be to disseminate information to the membership; keep the membership apprised of all the business affairs of the association; and seek the advice, opinions, wants, and the needs of the membership.
Section 2 Each club representative (or the President of the club) shall attend all regularly scheduled general meetings of the association, unless the Executive Board meets in executive session.
Section 3 The annual election meeting of the association shall be held in November of each year at a time and place to be fixed by the Executive Board for the purpose of election of officers of the association, and to act on any other matters which may properly come before the membership.
Section 4 Special meetings of the association may be held at the call of the President of the Executive Board.
Section 5 A simple majority of the members of the Executive Board present in person shall constitute a quorum at any meeting of the executive Board. In the absence of a quorum, a majority of those present at the time and place set for a meeting may take an adjournment from time to time until a simple majority shall be present.
Section 6 There shall be only one vote per registered club on all matters brought before the membership in the form of a motion and a second. Only club representatives are authorized to vote at any meeting of the association, but in his/her absence, the president of his/her club may represent the club and cast a vote. Voting shall be conducted through a roll call of club representatives, a show of hands, or by a written or oral vote of yeas and nays.
Section 7 A motion requires a second and a simple majority to pass.

Section 1 The business, property, and affairs of the association shall be managed by the Executive Board which shall have the power to initiate and  approve plans and programs for the welfare of amateurs. The Executive Board shall have custody and management of all assets of the association; and conduct necessary business affairs of the association. The Executive Board shall perform all other duties and shall have such other powers as may be necessary to carry out the purpose of the association.

Section 1 The officers of the association shall be the President, Executive Vice President, Vice President,-Open, Vice President-Men, Vice President-Women, Secretary, and Treasurer. These officers shall be elected for a one year term and assume the duties of the office on January
1 of the year following the election.
Section 2 There may be a nominating committee appointed by the Executive Board. This committee shall propose nominations for the officers to the Executive Board.
Section 3 Nominations will be open from the floor at the general meeting prior to and at the annual election meeting of the association.
Section 4 A simple majority vote of the club representatives present at the annual election
meeting shall elect the officers for the forthcoming year.
Section 5 In order to be eligible to hold an elected office within this association, an individual must have been a member of the association for a minimum of one year.
Section 6 In the event of the death, resignation, or removal of an elected officer, a replacement may be appointed by the current Executive Board and this replacement will serve until the next annual election meeting.
Section 7 An Executive Board officer can be removed for cause by the affirmative vote of three-fourths (3/4) of the members of the Executive Board or three-fourths (3/4 of the club representative of the association at a meeting duly called for that purpose. A special meeting must be call for this purpose by any member of the Executive Board, or by a member of the association. Written notification of this special meeting must be sent to the club representatives not less than thirty (30) days before the meeting indicating the time, place, and reason for the meeting.

Section 1 The Executive Board shall have the power to adopt bylaws, on an emergency basis, however such bylaws may not be inconsistent with this Constitution or Bylaws. All such emergency bylaws must be submitted to the association for a vote at the next regularly scheduled meeting.

Section 1 In the event of the dissolution of this association, or in the event it shall cease to carry out the objectives and purposes herein set forth, all of the business, property, and assets of the association shall be distributed to another not-for-profit organization for soccer so that the business, properties and assets of the association shall, in such event, be used for, and devoted for, the purposes of promoting amateur soccer organizations. In no event, shall any of the assets or property, in the event of such dissolution, go or be distributed to members either for the reimbursement of any sums subscribed, donated or contributed by such members, or for any other such purposes. In the event of dissolution of the association, or upon its ceasing to carry out the objectives and purposes herein set forth, the property and assets then owned by the association shall be devoted to carrying on the functions and purposes of such amateur soccer organizations as the Executive Board shall determine and direct.

The Executive Board shall not be held personally liable for any legal or financial action taken by the Executive Board as long as the Executive Board has acted in good faith in what is considered the best interest of the association, and is not guilty of negligence, misconduct, mal- or misfeasance.

The association shall not discriminate against any member or applicant because of their sex, race, color, religion or national origin.

This Constitution may only be amended by a simple majority vote of the club representatives of the association at any meeting provided a copy of the proposed amendment shall have been mailed to each club representative of the association at least thirty (30) days before the date of the meeting of which the proposed amendment is to voted upon.

This Constitution shall become effective immediately upon adoption by a simple majority vote of the club representatives of the association present as such meeting. Approved by the Northeastern Ohio Soccer Association Membership
